Terms of Service

The short version: Use Docly to ask questions about documents you have the right to use. Pay for the plan you choose, and cancel whenever you like. Docly gives you cited answers, but you're responsible for verifying anything important — it's a research assistant, not a substitute for professional advice.

1. Agreement to terms

These Terms of Service ("Terms") govern your use of Docly, operated by us at askyourdocly.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use Docly.

2. The service

Docly lets you upload documents (PDF, DOCX, TXT, PPTX) and ask questions about their contents. Docly uses AI to generate answers with citations back to the relevant pages of your document.

3. Accounts

You need an account to use Docly beyond basic access. You're responsible for keeping your login credentials secure.
You must provide accurate information when creating your account.
You're responsible for all activity that happens under your account.
Let us know right away at hello@askyourdocly.com if you believe your account has been compromised.

4. Your content

You retain full ownership of any documents you upload to Docly. We don't claim any ownership rights over your content.
You're responsible for having the right to upload and use any document you submit to Docly.
By uploading a document, you give us permission to process it for the sole purpose of generating answers to your questions, as described in our Privacy Policy.
You can delete your documents at any time, as described in our Privacy Policy.

5. Acceptable use

Please don't use Docly to:

Upload documents you don't have the legal right to use or share
Upload content that's illegal, infringes someone else's rights, or violates any law
Attempt to interfere with, disrupt, or reverse-engineer the Service
Use the Service to build a competing product by extracting our underlying prompts or systems
Attempt to circumvent plan limits (document count, page limits, question limits) through automated means

We reserve the right to suspend or terminate accounts that violate these terms.

6. Plans & billing

Paid plans are billed monthly through Stripe, our payment processor, and renew automatically until cancelled. We may update our pricing from time to time; if we do, we'll give existing subscribers advance notice before any change takes effect on their account.

7. Cancellation & refunds

You can cancel your subscription at any time from your account settings — no contracts, no cancellation fees.
When you cancel, you'll keep access to your plan's features through the end of your current billing period.
Payments already made are generally non-refundable, except where required by law or at our discretion.

8. Accuracy of AI-generated answers

Docly can make mistakes. AI-generated answers are provided to help you understand your documents faster, but they are not a substitute for careful reading or professional advice — especially for legal, medical, financial, or other high-stakes decisions. Always verify important information directly against the source document.

We work to make citations accurate and traceable back to the source page so you can quickly check any answer yourself.

9. Service availability

We aim to keep Docly available and reliable, but we don't guarantee the Service will be uninterrupted or error-free. We may perform maintenance, and occasionally the Service may be temporarily unavailable.

10. Limitation of liability

Docly is provided "as is." To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including decisions made based on AI-generated answers. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

11. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms, engage in abusive behavior, or pose a security risk to the Service or other users. Where reasonably possible, we'll provide notice before termination.

12. Changes to these terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you directly.

13. Governing law

These Terms are governed by the laws of the United States and the state in which Docly is registered, without regard to conflict-of-law principles.
